Legacy Builders (“Legacy Builders,” “we,” “us,” or “our”) is operated by Greenstein Rogoff, Olsen & Co., LLP (“GROCO”).

These Terms apply to grocolb.com, gather.grocolb.com, and other websites, landing pages, registration pages, forms, and digital services operated by or on behalf of Legacy Builders that link to these Terms (collectively, the “Services”).

By accessing or using the Services, submitting a form, registering for a gathering, purchasing a ticket, requesting a conversation, or otherwise interacting with Legacy Builders, you acknowledge that you have read, understood, and agree to these Terms.

If these Terms conflict with an executed engagement agreement governing professional services, the engagement agreement will control with respect to those professional services.

5. Coordination With Other Professional Advisers
Legacy Builders may work collaboratively with a family's or organization's existing attorneys, accountants, investment advisers, wealth managers, insurance professionals, trustees, consultants, and other professional advisers.

Unless expressly agreed otherwise in writing, Legacy Builders does not assume the responsibilities of those professionals.

Legacy Builders may assist in coordinating information, facilitating communication, identifying issues for consideration, and helping clients organize their advisory relationships. Such coordination does not make Legacy Builders responsible for the advice, recommendations, acts, omissions, or professional services of independent third parties.

You remain responsible for determining whether a particular professional is appropriate for your circumstances.

6. No Investment Products or Investment Recommendations Through the Website
General discussions regarding investments, wealth, markets, portfolio structures, liquidity, risk, or financial planning appearing through Legacy Builders are educational in nature unless expressly provided pursuant to an applicable professional engagement.

Nothing on the Legacy Builders website constitutes an offer to sell, solicitation to purchase, or recommendation regarding any security, investment product, fund, investment manager, or investment strategy.

Any investment-related decision should be evaluated with appropriately qualified investment, tax, legal, and other professional advisers.

7. Tax and Accounting Matters
Certain tax and accounting services may be provided through GROCO pursuant to a separate professional engagement.

General tax information presented through Legacy Builders is educational and should not be relied upon as individualized tax advice.

Tax laws, regulations, interpretations, filing requirements, and administrative practices change frequently and may differ based upon individual circumstances and jurisdiction.

No person should enter into a transaction, file a tax return, adopt a tax position, or take or refrain from taking action solely on the basis of general information presented through Legacy Builders.

8. Legal and Estate-Planning Matters
Legacy Builders may discuss estate planning, trusts, governance structures, succession, charitable structures, and related legal concepts.

Unless expressly provided by a properly licensed attorney through a separate professional relationship, Legacy Builders does not provide legal advice.

Any legal documents, estate-planning instruments, trust documents, entity structures, agreements, or other legal arrangements should be prepared or reviewed by appropriately qualified legal counsel.

9. Third-Party Professionals and Introductions
Legacy Builders may introduce participants or clients to professional advisers, service providers, speakers, sponsors, nonprofit organizations, businesses, or other third parties.

An introduction does not constitute an endorsement, warranty, guarantee, or representation regarding the third party.

Unless otherwise expressly disclosed, third-party professionals and organizations are independent from Legacy Builders and GROCO.

You are responsible for conducting your own due diligence before entering into any relationship or transaction with a third party.

Legacy Builders and GROCO are not responsible for the acts, omissions, advice, services, products, representations, financial condition, or performance of independent third parties.

10. Legacy Builders Gatherings
Legacy Builders organizes private gatherings, educational programs, meetings, dinners, conferences, retreats, and other experiences (“Gatherings”).

Gatherings are intended to create substantive opportunities for learning, relationship building, collaboration, and conversation.

Attendance may be limited, curated, invitation-based, application-based, or subject to verification.

Legacy Builders reserves the right to establish and modify eligibility requirements for any Gathering.

11. Family Office Registration and Verification
Certain Gatherings or registration categories may be offered specifically to qualifying family offices, principals, family members, or other designated participants.

Individuals registering under a family-office or similar category may be subject to verification by Legacy Builders staff.

Submission of a registration does not guarantee acceptance.

Legacy Builders may request additional information reasonably necessary to verify an individual's eligibility or affiliation.

Legacy Builders reserves the right to approve, decline, cancel, or reclassify a registration if it determines that the participant does not satisfy the applicable registration criteria.

12. Service Providers and Nonprofit Organizations
Professional service providers, advisers, vendors, nonprofit organizations, and other organizations may be permitted to attend certain Gatherings under designated registration categories.

Payment of a registration fee does not guarantee access to every Legacy Builders event, participant, family, family office, private meeting, or activity.

Attendance does not create any entitlement to solicit, market to, or obtain contact information for other participants.

Legacy Builders may establish reasonable rules regarding solicitation and commercial activity in order to preserve the experience of families and other attendees.

13. Registration Fees and Payment
Certain Gatherings, programs, or services may require payment.

Prices will be displayed during registration or otherwise communicated before purchase.

By completing a paid registration, you authorize the applicable payment processor to charge the payment method you provide for the stated amount and any applicable taxes or fees disclosed at checkout.

Registration is not complete until required payment has been successfully processed and any applicable registration requirements have been satisfied.

14. Taxes
Prices may be subject to applicable sales, admissions, use, or other taxes as required by law.

Where Legacy Builders is required to collect applicable taxes, those taxes may be added to the registration price or otherwise included in the amount charged.

Participants remain responsible for taxes or obligations imposed directly upon them by applicable law.

15. Cancellations, Transfers, and Refunds
Unless a different cancellation or refund policy is expressly stated during registration for a particular Gathering, registration fees are subject to the cancellation and refund policy communicated during the applicable registration process.

Legacy Builders may establish event-specific deadlines for cancellations, refunds, substitutions, or transfers.

Where transfers are permitted, Legacy Builders may require approval of the substitute attendee.

Failure to attend a Gathering does not automatically entitle a registrant to a refund.

Legacy Builders reserves the right to make reasonable changes to event programming, speakers, schedules, venues, meals, activities, or other event details.

16. Event Cancellation or Rescheduling
Legacy Builders may cancel, postpone, relocate, or reschedule a Gathering due to circumstances including, without limitation:

  • Venue issues

  • Weather

  • Natural disasters

  • Government actions

  • Public-health concerns

  • Security concerns

  • Transportation disruptions

  • Speaker cancellations

  • Insufficient participation

  • Events beyond our reasonable control

  • Other circumstances affecting the safety, quality, or feasibility of the Gathering

If Legacy Builders cancels an event entirely, its responsibility to paid registrants will be governed by the cancellation policy communicated for that event.

Unless expressly stated otherwise, Legacy Builders is not responsible for airfare, lodging, transportation, lost income, or other incidental expenses incurred in connection with attendance.

17. Conduct at Gatherings
Participants are expected to conduct themselves professionally, respectfully, and in a manner consistent with the purpose of Legacy Builders.

Legacy Builders may remove or deny participation to any individual whose conduct it reasonably determines is:

  • Disruptive

  • Abusive

  • Threatening

  • Harassing

  • Fraudulent

  • Unsafe

  • Unlawful

  • Excessively promotional or solicitous

  • Materially inconsistent with the nature of the Gathering

Removal from a Gathering for inappropriate conduct may occur without refund.

18. Confidentiality and Private Conversations
Legacy Builders Gatherings may include candid conversations regarding families, businesses, wealth, philanthropy, succession, personal experiences, and other potentially sensitive matters.

Participants are expected to respect the privacy of other participants.

Unless expressly authorized, participants should not publicly attribute private statements, disclose confidential information shared by another participant, or record private conversations.

However, Legacy Builders cannot guarantee that another participant will maintain confidentiality. Participants should exercise appropriate judgment regarding information they choose to disclose.

Nothing in these Terms creates a legally binding confidentiality obligation between individual attendees unless a separate confidentiality agreement applies.

19. Photography, Video, and Recording
Legacy Builders Gatherings may be photographed, filmed, livestreamed, or otherwise recorded.

Event-specific notices, releases, registration terms, or signage may provide additional information regarding photography and recording.

By attending areas of a Gathering designated for photography or recording after appropriate notice has been provided, participants acknowledge that photographs or recordings may be created and used as permitted by applicable law and any applicable event-specific terms.

Legacy Builders will endeavor to respect reasonable requests concerning photography where practicable.

Nothing in these Terms is intended to constitute a broader release of publicity rights than permitted by applicable law or separately agreed.

20. Speakers
Speakers participating in Legacy Builders programs may express their own opinions, experiences, strategies, and perspectives.

Speaker statements do not necessarily represent the views of Legacy Builders or GROCO.

Legacy Builders does not guarantee the accuracy or completeness of statements made by independent speakers.

Speakers are responsible for the content they present unless otherwise expressly agreed.

Participation as a speaker does not create an employment, partnership, joint-venture, agency, or professional relationship with Legacy Builders or GROCO.

21. Sponsors
Legacy Builders may accept sponsorships from organizations whose products or services may be relevant to participants.

Sponsorship does not constitute an endorsement or recommendation by Legacy Builders or GROCO.

Sponsors do not receive unrestricted access to participant personal information merely by virtue of sponsorship.

Any sharing of participant information will be handled in accordance with the Legacy Builders Privacy Policy, applicable consent, and applicable law.

Specific sponsorship benefits and obligations may be governed by a separate sponsorship agreement.

Relationships and opportunities arising from Legacy Builders depend upon numerous circumstances outside our control.

23. Request a Conversation
The Request a Conversation feature allows prospective participants, families, organizations, and clients to express interest in speaking with Legacy Builders or GROCO.

Submission of a request does not obligate Legacy Builders or GROCO to provide services, accept an engagement, schedule a meeting, or establish a professional relationship.

Legacy Builders may determine whether and how to respond to requests based upon capacity, fit, expertise, conflicts, professional requirements, and other relevant considerations.

24. Assessments, Questionnaires, and Tools
Legacy Builders may provide assessments, questionnaires, readiness tools, scorecards, frameworks, or similar resources.

Results generated by these resources are intended to facilitate reflection, education, and discussion.

Unless expressly provided pursuant to a professional engagement, such results are not professional diagnoses, valuations, investment recommendations, tax opinions, legal opinions, or guarantees regarding a family's or organization's circumstances.

25. Accuracy of Information
We seek to provide useful and accurate information, but we do not warrant that all information provided through the Services is complete, current, error-free, or suitable for every circumstance.

Professional rules, tax laws, regulations, markets, technologies, and other circumstances may change after content is published.

Legacy Builders and GROCO may modify, correct, or remove content without notice.

You represent that you have the right to provide any information, documents, materials, or content you submit.

You should not submit highly confidential, privileged, proprietary, financial-account, medical, or other sensitive information through a general website form unless specifically requested and an appropriate secure method has been provided.

33. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
LEGACY BUILDERS AND GROCO DISCLAIM WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE WEBSITE AND GENERAL INFORMATION PROVIDED THROUGH IT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS.

Nothing in this section modifies warranties or professional obligations that may expressly arise under a separate written professional engagement agreement.

34. No Guarantee of Results
Legacy, family governance, succession, wealth planning, business planning, philanthropy, professional relationships, and similar matters involve circumstances beyond the control of Legacy Builders.

Accordingly, Legacy Builders and GROCO do not guarantee particular financial, tax, family, business, philanthropic, investment, relational, or other outcomes merely from use of the website, participation in a Gathering, or participation in general Legacy Builders programming.

Any guarantees or professional commitments contained in a separate written agreement will be governed by that agreement.

35. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LEGACY BUILDERS, GROCO, AND THEIR RESPECTIVE PARTNERS, MEMBERS, EMPLOYEES, OFFICERS, AGENTS, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF THE GENERAL SERVICES, WEBSITE CONTENT, OR PARTICIPATION IN LEGACY BUILDERS PROGRAMMING.

This includes, to the extent permitted by law, losses involving profits, revenue, opportunities, data, goodwill, travel expenses, or business interruption.

Some jurisdictions do not permit certain exclusions or limitations of liability. In such jurisdictions, these provisions apply only to the extent permitted by law.

Nothing in these Terms limits liability that cannot lawfully be limited or excluded.

Professional services provided pursuant to a separate written engagement agreement are governed by the liability provisions contained in that agreement.

36. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Legacy Builders and GROCO and their respective partners, employees, officers, agents, and affiliates from third-party claims, liabilities, damages, and reasonable costs arising from:

  • Your unlawful use of the Services

  • Your material violation of these Terms

  • Content or information you submit in violation of another person's rights

  • Your infringement of intellectual-property or other rights

  • Your unlawful or intentionally wrongful conduct in connection with a Gathering

This provision does not require you to indemnify a party for matters for which indemnification cannot lawfully be required.

37. Force Majeure
Legacy Builders will not be responsible for delay or failure to perform obligations resulting from circumstances beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, government action, labor disruption, utility failure, transportation interruption, technology failure, venue closure, or similar circumstances.

38. Governing Law
Except where applicable law requires otherwise or a separate written agreement provides otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Any professional engagement may contain its own governing-law and dispute-resolution provisions, which will control for matters arising under that engagement.

39. Dispute Resolution
Before initiating formal legal proceedings concerning these Terms, the parties are encouraged to attempt in good faith to resolve the dispute through direct communication.

Unless prohibited by applicable law or governed by another written agreement, disputes concerning these Terms shall be brought in a court of competent jurisdiction in California.

Professional-service engagements may be subject to separate mediation, arbitration, venue, or dispute-resolution requirements established in the applicable engagement agreement.

40. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will remain in effect.

41. No Waiver
Failure by Legacy Builders or GROCO to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

42. Assignment
You may not assign your rights or obligations under these Terms without our prior written consent.

Legacy Builders or GROCO may assign rights or obligations associated with these Terms in connection with a reorganization, merger, acquisition, transfer of operations, or similar business transaction, subject to applicable law.

43. Entire Agreement
These Terms, together with the Legacy Builders Privacy Policy and any additional terms expressly presented in connection with a particular Service, constitute the agreement governing general use of the Services.

Separate agreements—including professional engagement agreements, sponsorship agreements, speaker agreements, confidentiality agreements, and event-specific agreements—may impose additional or different terms.

Where an applicable separately executed agreement conflicts with these Terms, the separately executed agreement will control with respect to its subject matter.

44. Changes to These Terms
